Job Description

Job Responsibilities

  • Handling all the secretarial matters, compliance with the Corporate Laws, applicable Rules and Regulations for the Company, its affiliates in India.
  • Compliance under the FEMA Regulations and FDI Policy pertaining to the foreign remittances received in India.
  • Record Keeping of the various registers, documents, contracts, etc. of the Company (including its Group Companies)
  • This role is responsible for protecting the interest of the company, stakeholders, and directors by developing, maintaining, and operating an effective compliance and regulatory framework.
  • Convening of Board, committees, and shareholders meetings preparation of agenda, minutes, and compliance.
  • Preparing and finalization of Quarterly and Annual Reports.
  • Coordination with the operations team and relevant authorities for routine requirements as required by the Companies Act, 2013 and other allied laws applicable.
  • Working with and responding to the requirements of internal and external stakeholders.
  • To get statutory, internal, and secretarial audits done in compliance with Company law
  • Overall compliance with the SEBI Act, Listing Agreement, and SEBI rules and regulations.
  • Supporting in the documentation of new acquisitions, funding, tenders, etc., and ensuring compliance with Statutory requirements
  • Providing support in the dissemination of key knowledge among various departments w.r.t. any recent amendments, etc. in the applicable laws.
  • Regular review of emerging trends and ensuring that the Company’s existing policies, processes, and practices are marked to assure proper internal controls and relevant checks and balances.


Academic Qualifications

  • Company Secretary (ICSI).
  • At least 8-10+ years of relevant post qualification experience combining corporate, commercial, disputes and company secretarial experience.
  • Candidate must demonstrate the following qualities:
    • Team Management.
    • A high level of integrity and management skills – this is a prerequisite.
    • Experience and capability of supporting and serving as a trusted advisor to the business. Professional and commercial approach to problem solving and strong team ethic is essential.
    • Excellent communication and relationship building skills, both written and oral, with the ability to write concisely with precision and clarity.
    • Ability and desire to work collaboratively and autonomously.
    • Ability to work well under pressure whilst continuing to work in an orderly and organized manner.
    • Ability to navigate complex issues.
