Responsibilities:

1. Act as the primary point of contact between the company and regulatory authorities, ensuring timely submission of all required documents and disclosures.

2. Organize and prepare agendas for board meetings, annual general meetings, and other company meetings.

3. Draft minutes of meetings and maintain accurate records of all company proceedings.

4. Advise the board of directors on corporate governance matters and ensure adherence to applicable laws and regulations, including FEMA regulations.

5. Facilitate communication between the board of directors, management, and shareholders.

6. Monitor changes in relevant legislation and regulations and advise the company on necessary actions to maintain compliance, particularly about FEMA.

7. Assist in the preparation of annual reports, financial statements, and other statutory filings, including ROC filings.

8. Manage the company’s register of shareholders and ensure compliance with disclosure requirements.

9. Coordinate with internal and external stakeholders, including legal counsel, auditors, and regulatory authorities.

10. Handle fundraising activities, private placements, and debt issuances, ensuring compliance with regulatory requirements.

11. Handle FEMA compliances form FC GPR, FC TRS, etc.

12. Handle trademark applications and related filings

13. Handle any other duties and responsibilities as assigned by the management.

Requirements:

1. Qualified Company Secretary with membership of the Institute of Company Secretaries of India (ICSI).

2. Shall have prior experience working in a PCS firm.

3. In-depth knowledge of Indian corporate laws, regulations, and governance practices, including FEMA regulations.

4. Strong experience in fund-raising activities and familiarity with regulatory requirements.

5. Experience in preparing and filing ROC (Registrar of Companies) filings.

6. Strong communication, interpersonal, and organizational skills.

7. Ability to work independently and handle multiple tasks simultaneously.

8. Attention to detail and high level of accuracy in documentation and record-keeping.

9. Proficiency in MS Office suite and familiarity with corporate governance software/tools.

10. Proactive approach to problem-solving and ability to anticipate and mitigate risks.

Job Type: Full-time

Pay: ₹50,000.00 - ₹60,000.00 per month
