  • Hold responsibility for relationship management at Board level and between senior management teams, investors, Government Authorities, vendors and employees.
  • Manage affairs relating to Board and Shareholders including convening of Board/Shareholders/Committee meetings, keeps abreast of the changes in the Regulations and apprises the Board accordingly.
  • Ensure adequacy of the systems of Risk Management - Business, Financial , Compliance and Operational Corporate Law, Board Processes including Corporate Governance, Company Policy and Labour Legislation
  • Communication and Information flow across the Company.
  • Accountable for Statutory Compliance Management with regard to the various requirements of Labour Legislation (in particular CLRA, MWA, IDA, PGA, PBA, ESI Act, PF Act, and POSH), Corporate Law as amended from time to time.
  • Draft legal documents such as MOUs, NDAs, Loan Agreements and Lease Agreements and diligently deals with Clients on legal matters
  • Vet commercial Contracts and Agreements - Lease, NDAs and Share Purchase.
  • Efficiently handle Legal/Court matters pertaining to Civil, Criminal, Labour Laws, MACT and Employment related.
  • Facilitate recovery of disputed receivables through reconciliatory dialogues as well as appropriate legal action as the cases warrant.
  • The person must be a qualified Company Secretary with graduate degree in Law.
  • Possess 15-20 years relevant work experience as a Company Secretary and at least last 3 years should be in a listed company.
  • Must have superior communication, presentation, drafting and problem-solving skills.
  • Be self-initiated and a team player.
  • Possess strategic thinking with feet on the ground approach.
  • Be able to feel comfortable managing uncertainties and practice resilient leadership.
  • Salary is not a constraint for the right candidates.
